These Terms and Conditions ("Terms") govern your use of the Cafesure S.A.S. B.I.C. ("Cafesure," "we," "us," or "our") website (cafesureexport.com) and all commercial services provided through it. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. General Provisions

Cafesure S.A.S. B.I.C. is a Benefit and Collective Interest Company (Sociedad de Beneficio e Interés Colectivo) registered under the laws of the Republic of Ecuador. These Terms constitute the entire agreement between you and Cafesure regarding website use and preliminary commercial interactions.

We reserve the right to modify these Terms at any time. Changes take effect upon posting to this page. Continued use of the website after changes constitutes acceptance of the updated Terms.

2. Website Use

• You may use our website only for lawful purposes and in accordance with these Terms.
• You agree not to use the site in any way that could damage, disable, or impair the site or interfere with any other party's use.
• You must not attempt to gain unauthorized access to any part of the site, its servers, or any connected database.
• Automated systems, scrapers, or bots may not be used to access or collect data from this site without prior written consent.

3. Products & Services

Cafesure specializes in the sourcing, processing, and export of specialty green and roasted coffee from Loja, Ecuador. Our website serves as an informational platform for international roasters, importers, and coffee professionals.

Product Descriptions

We strive to provide accurate descriptions of our coffee varieties, processing methods, and export capabilities. However, coffee is an agricultural product subject to natural variation. Cupping scores, flavor profiles, and availability may vary by harvest season. All descriptions on this website are for informational purposes and do not constitute binding specifications for commercial orders.

Pricing

Pricing for commercial orders is provided on a quote basis and is confidential. Published pricing, if any, is indicative only and subject to change without notice. Final pricing is agreed upon in the commercial contract between parties.

4. Samples & Sample Requests

• Purpose: samples are provided exclusively for evaluation purposes to assess coffee quality, variety, and processing characteristics.
• Sample sizes: standard evaluation samples are 300–350g per variety. Custom weights may be available upon request.
• Costs: sample costs, where applicable, may be credited toward your first commercial order at Cafesure's discretion. Sample fees are non-refundable if no commercial order follows.
• Evaluation period: we recommend cupping samples within 14 days of receipt for optimal quality assessment.
• No guarantee of availability: sampling a variety does not guarantee future availability. Harvest yields, weather, and supply chain factors may affect lot availability.

5. Commercial Orders

Order Confirmation

Commercial orders are confirmed only upon written agreement (email or signed contract) between you and Cafesure. Verbal agreements or preliminary quotes do not constitute binding orders.

Minimum Order Quantities

Minimum order quantities vary by product category:

• Green coffee samples: 300–350g
• Green coffee (entry): 40–100 kg
• Green coffee (standard): 100–500 kg
• Green coffee (pallet): 500–1,000 kg
• Roasted coffee programs: minimums vary by program — see product pages for details.

Payment Terms

Payment terms are defined in each commercial contract. Standard terms may include:

• Full payment or deposit prior to shipment for new accounts.
• Net 30 or Net 60 terms for established accounts with approved credit.
• Wire transfer (T/T) as the preferred payment method.

Late payments may incur interest charges as specified in the commercial contract. Cafesure reserves the right to suspend shipments for overdue accounts.

Quality Assurance

All lots undergo rigorous physical and sensory grading at our dry mill in Loja. Quality specifications, including cupping scores, moisture content, water activity, and defect counts, are documented in the commercial contract and pre-shipment sample. Disputes regarding quality must be raised within 14 days of delivery with supporting cupping documentation.

6. Shipping & Logistics

• Incoterms: standard trade terms are FOB (Free on Board) Loja or Guayaquil, unless otherwise agreed in writing.
• Shipping methods: we offer air freight (5–10 business days) and ocean freight (6–10 weeks) depending on order size, urgency, and destination.
• Risk transfer: risk of loss or damage transfers to the buyer upon delivery to the designated carrier under the applicable Incoterm.
• Customs & compliance: Cafesure provides all Ecuadorian export documentation. Import duties, taxes, and clearance in the destination country are the buyer's responsibility.
• Force majeure: Cafesure is not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, port closures, or transportation disruptions.

7. Intellectual Property

All content on this website — including text, images, logos, graphics, design elements, blog posts, and downloadable materials — is the property of Cafesure S.A.S. B.I.C. or its content suppliers and is protected by Ecuadorian and international copyright laws.

• You may view and download pages for personal, non-commercial use only.
• You may not reproduce, distribute, modify, create derivative works, publicly display, or commercially exploit any content without prior written permission.
• Cafesure brand names, logos, and trademarks may not be used without express written authorization.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• The website and its content are provided "as is" and "as available" without warranties of any kind, express or implied.
• Cafesure does not warrant that the website will be uninterrupted, error-free, or free of harmful components.
• In no event shall Cafesure, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website.
• Our total liability for any claim arising from website use shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

For commercial transactions, liability is governed by the specific commercial contract between the parties.

You agree to indemnify and hold harmless Cafesure S.A.S. B.I.C. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the website or services.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any third-party claims related to your content or activities on the site.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Ecuador. Any dispute arising from or related to these Terms or website use shall be subject to the exclusive jurisdiction of the courts of Loja, Ecuador.

For commercial disputes, the parties agree to attempt good-faith negotiation before initiating formal proceedings. If negotiation fails, disputes shall be submitted to arbitration under the rules of the Ecuadorian Arbitration and Mediation Center (CAM).

11. Privacy

Your use of our website is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the site, you consent to the collection and use of data as described therein.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
